Overview

Most corporate problems are decided years earlier, in the articles, the shareholders' agreement, or a filing nobody checked.

We set up Latvian companies and advise on how they are run: the constitutional documents, the shareholder and founder arrangements, board appointments, and the group structures that sit above a single entity.

Alongside that is the ordinary commercial work - supply, distribution and services contracts, acquisitions and reorganisations, and, at the other end of a company's life, a solvent wind-down done in the right order.

What we advise on

Incorporating a Latvian company and setting up how it will be governed: the articles, share capital, the division of authority between the shareholders and the board, and the internal rules that follow from it.

Agreements between the people behind a company: contributions, decision thresholds, transfer restrictions, deadlock, and what happens when a founder or a partner wants out.

Share and asset transactions from either side: due diligence, the transaction documents and the warranty package, and the reorganisations that move activity between entities in a group.

The contracts a business runs on day to day - supply, distribution, agency, services and framework agreements - drafted and negotiated with the operational detail that decides them.

Reorganising a group or closing an entity in the right order: creditor and employee steps, asset transfers, the liquidation procedure, and the filings that close the matter properly.

The filings a company owes through its life: incorporation, changes of board, capital and articles, beneficial ownership information, and the corrections that follow when something was recorded wrongly.

Company law terms

  1. Sabiedriba ar ierobezotu atbildibu (SIA)

    A closed capital company whose shares are not an object of public circulation - the ordinary form for a privately held Latvian business.

  2. The commercial register

    A company is a legal person, and is treated as founded, from the day it is entered in the commercial register. The register's entries are open to anyone.

  3. Valde (the board)

    The company's executive body. It manages the company and represents it, and may have one member or several.
